The Utility Token ("Token") grants exclusively access to specific digital services, functions or benefits within the ecosystem of Mach5 A.G. The Token grants no economic, legal or governance rights and does not represent a share or future share right in the company. The Token can be used for: - Onboarding credits within the platform - API access to services of Mach5 A.G. - Discounts on platform services - In-app currency for digital services - License for specific digital services

Mach5 A.G. (Zug, Switzerland) has developed a two-phase token structure that fully complies with FINMA guidelines and Swiss law. This structure consists of: 1. PHASE 1: Utility Token (Service Token) - Pure utility token without equity rights 2. PHASE 2: Security Token (DLT-Wertrechte) - Tokenized shares with full shareholder rights The two phases are completely separate. There is no automatic conversion between the utility token and the security token.

The company is authorized to issue share rights in the form of Registerwertrechte or DLT-Wertrechte in accordance with articles 973d–973h of the Swiss Code of Obligations (OR). This authorization includes the issuance of tokenized shares that represent full and legally binding shareholder rights.
